CICCC Agent Recruitment Agreement — Between the “Institution”: Cornerstone International Community College of Canada (CICCC), 609 W Hastings St, Vancouver, BC, Canada (info@ciccc.ca); and the “Agent” (your agency, as registered above). Together the “Parties.”
1. Purpose
The Agent is appointed to recruit and refer qualified students to the Institution in accordance with ethical practices, applicable laws, and Institutional policies.
2. Appointment
- The Agent is appointed on a non-exclusive basis.
- The Institution may appoint other agents at its discretion.
- The Agent acts as an independent contractor and not as an employee, partner, or legal representative of the Institution.
2.1 Territory and Recruitment Scope. The Agent is authorized to recruit students only within the approved recruitment type and territory declared above, unless otherwise authorized in writing by the Institution.
3. Scope of Services
The Agent shall: promote Institution programs using approved materials; identify and refer prospective students; assist students with application submission; and provide accurate and up-to-date information. The Agent is not authorized to act on behalf of the Institution in any legal or contractual capacity and has no authority to sign any agreement, contract, document, representation, commitment, or undertaking on behalf of the Institution unless expressly authorized in writing. The Agent has no authority to: admit or enroll students on behalf of the Institution; legally bind the Institution; sign agreements on behalf of the Institution; or make commitments, guarantees, promises, or representations on behalf of the Institution unless expressly authorized in writing.
4. Agent Responsibilities
The Agent agrees to: recruit genuine and qualified students; ensure all documents submitted are authentic and accurate; provide truthful and clear information at all times; ensure students understand their program, fees, and study plans; comply with all applicable laws (including IRCC, PTIRU/PTIB, EQA, and provincial regulations); and obtain proper consent before sharing student data.
The Agent shall NOT: guarantee visa approval, employment, or immigration outcomes; provide immigration advice unless legally authorized; misrepresent the Institution or its programs; collect tuition or fees on behalf of the Institution unless expressly authorized in writing; engage in misleading or unethical recruitment practices; represent or charge any fees as being fees of the Institution unless expressly authorized in writing; mislead students into believing that any Agent service fee is a fee charged by the Institution; or bundle or combine Agent service fees with Institution fees without clear separation and disclosure.
5. Institution Responsibilities
The Institution will: review applications fairly and in a timely manner; issue Letters of Acceptance (LOA) to qualified applicants; provide accurate program and marketing information; and support admissions and administrative processes. The Institution retains sole discretion over admissions decisions, program availability, and tuition and policies.
6. Commission Structure
6.1 Eligibility. Commission is payable only when: the student is referred by the Agent; the student is accepted and enrolled; tuition fees are received and cleared; and the student has commenced the program and passed the refund eligibility period under the Institution’s Tuition Refund Policy and PTIRU/PTIB requirements.
6.2 Calculation. Commission is based on net tuition received (excluding non-tuition fees, scholarships, discounts, taxes, material fees, or refunds). Applicable commission rates are outlined in Schedule A – Commission Structure, which forms part of this Agreement. The Institution reserves the right to amend commission structures with prior written notice to the Agent.
6.3 Payment. Payment will be made within 30–60 days after eligibility is confirmed and a valid invoice is received.
6.4 No Commission Cases. No commission is payable if: visa is refused before program start; student withdraws before eligibility; tuition is refunded; or fraud or misrepresentation is identified.
6.5 Clawback. The Institution may recover or deduct commission already paid in cases of refunds, fraud, or breach of this Agreement.
7. Marketing and Brand Use
The Agent may only use approved materials provided by the Institution; must not modify or misuse the Institution’s branding or promotional materials without prior written approval; and must obtain prior written approval before publishing or distributing independently created marketing materials referencing the Institution.
8. Data Protection & Confidentiality
The Agent agrees to comply with applicable privacy laws (including PIPEDA and GDPR where applicable); use student data solely for recruitment purposes; and maintain confidentiality of all institutional and student information.
9. Immigration and Legal Disclaimer
The Agent acknowledges that study permits are issued by Immigration, Refugees and Citizenship Canada (IRCC); Provincial Attestation Letters (PAL) are controlled by the Province of British Columbia; and the Institution does not guarantee visa approval, study permits, employment, or immigration outcomes. Immigration advice, visa-related guidance, and immigration representation may only be provided by individuals properly licensed or legally authorized under applicable Canadian laws (including the College of Immigration and Citizenship Consultants (CICC), where applicable). Any immigration-related services provided by the Agent or its representatives are provided independently and not on behalf of the Institution, and the Institution shall not be responsible or liable for them.
10. Sub-Agents and Third Parties
The Agent may engage sub-agents or third parties only with prior written notice to the Institution. The Agent remains fully responsible and liable for all actions of any sub-agents; all sub-agents must comply with this Agreement; any breach by a sub-agent is deemed a breach by the Agent; the Institution has no contractual relationship with sub-agents; and the Institution may require the Agent to cease working with any sub-agent whose conduct may harm the Institution or violate regulations.
11. Performance and Compliance
The Institution may monitor Agent performance based on student quality and outcomes, compliance with policies and regulations, and ethical conduct. The Agent must provide requested reports or information and disclose any complaints, investigations, or legal issues relevant to its services.
12. Term and Termination
12.1 Term. This Agreement shall remain in effect for two (2) years and shall automatically renew for successive one-year terms unless terminated in accordance with this Agreement. 12.2 Termination for Convenience. Either Party may terminate by providing sixty (60) days written notice. 12.3 Immediate Termination for Cause. The Institution may terminate immediately upon written notice if the Agent engages in fraud, provides false or misleading information, violates laws or regulatory requirements, engages in unethical recruitment practices or serious misconduct, or causes material reputational harm. 12.4 / 12.5. Commission earned for eligible students prior to termination may still be paid; the Agent shall immediately cease all representation of the Institution; and termination does not relieve either Party of obligations accrued prior to termination.
13. Limitation of Authority
The Agent is not an employee, partner, or legal representative of the Institution; has no authority to bind the Institution; and is not a party to any student contract with the Institution.
14. Indemnification
The Agent agrees to indemnify and hold harmless the Institution from any claims, damages, losses, or liabilities arising from breach of this Agreement, misrepresentation or misconduct, violation of laws or regulations, actions of the Agent’s sub-agents or representatives, and any disputes related to fees charged by the Agent to students.
15. Dispute Resolution
The Parties agree to attempt to resolve any disputes in good faith through discussion and negotiation prior to commencing legal proceedings.
16. Anti-Bribery and Anti-Corruption
The Agent shall comply with all applicable anti-bribery and anti-corruption laws and shall not engage in any conduct that could damage the reputation or integrity of the Institution.
17. Governing Law
This Agreement shall be governed by the laws of the Province of British Columbia, Canada.
18. Entire Agreement
This Agreement constitutes the entire agreement between the Parties and supersedes all prior agreements or understandings.
Schedule A — Commission Structure
Standard commission: 25% of net tuition received (excluding non-tuition fees, taxes, discounts, scholarships, material fees and refunds), payable under Section 6 of this Agreement. The applicable rate is confirmed with you in writing upon approval and may be amended with prior written notice.
